Receipt of Idea


On this day, received from [specify employee], an idea concerning [specify] which was presented in the form of [specify: a note, letter, design, drawing, etc.]

The Company acknowledges the furnishing of this idea; however, it is specifically agreed to between the parties that no representations regarding compensation due for its use have been made to the Employee.  Furthermore, the Employee agrees and understands that the Company is not obligated to pay any form of compensation to the Employee if the idea is eventually used or incorporated and that the Employee has voluntarily conveyed this idea to the Company on his/her behalf, without fraud, coercion or duress.

It is understood and agreed to by the Employee that any monies that may be paid to him/her by the Company are not enforceable by contract but are gratuitous and that any such payment(s) and amounts are solely determined at the Company's discretion with no right of protest by the Employee.

Finally, the Employee agrees to assign all of his/her rights to such inventions, ideas, etc. to the Company upon the signing of this acknowledgement and to sign all documents necessary to evidence same.
