Sample Sales Employee Agreement (Long Version)


7.4 Return of Confidential and Order Material. Upon the termination of Employee's employment with Company hereunder, Employee will immediately return to Company any Confidential Information in Employee's possession or control.

8. Indemnification.

Employee shall indemnify and hold the Company harmless against any claim, demand, damage, debt, liability, account, reckoning, obligation, cost, expense, lien, action or cause of action (including the payment of attorneys' fees and costs actually incurred whether or not litigation is commenced) arising from the breach of this Agreement.

9. Additional Covenants.

9.1 Other Business Interests. During Employee's employment with Company, Employee agrees that he will not, directly or indirectly, own an interest in, operate, join, control, or participate in, or be connected as an officer, employee, agent, independent contractor, partner, shareholder, or principal of any corporation, partnership, proprietorship, firm, association, person, or other entity producing, designing, providing, soliciting orders for, selling, distributing, or marketing products, goods, equipment, or services that directly or indirectly compete with Company's products or Company's business.

9.2 Subsequent Activities. For Six (6) months following termination as an employee, Employee agrees not to undertake any employment or activity competitive with Company's business in which the loyal and complete fulfillment of the duties of the competitive employment or activity would call on Employee to reveal, to make judgments on, or otherwise to use any trade secrets of Company's business to which Employee had access by reason of Company's business.

9.3 Solicitation Requirements. During the term of this Agreement, Employee agrees that he will not, directly or indirectly, either for himself or for any other person, firm, or corporation, divert or take away or attempt to divert or take away (and following termination as an employee, call on or solicit or attempt to call on or solicit) any of Company's customers or patrons, including but not limited to those on whom he called or solicited or  with whom he became acquainted while engaged as an employee in Company's business.

9.4 Non-Waiver. Nothing in this Paragraph 9 shall be deemed a waiver of Employee's obligations under Paragraph 7; in the event of any conflict or inconsistency between provisions of Paragraph 9 and Paragraph 7, the provisions in Paragraph 7 shall control.
